Terms of Service

Please read these terms carefully before using Iteros Lens. By creating an account or using the service, you agree to be bound by them.

1. Who these terms are between

These Terms of Service ("Terms") are a legal agreement between you ("you" or "the user") and [YOUR COMPANY NAME] ([COMPANY NUMBER]), registered at [YOUR REGISTERED ADDRESS] ("we", "us", or "the Company"), the operator of Iteros Lens.

If you are using Iteros Lens on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" refers to that organisation.

2. The service

Iteros Lens is a browser-based video time-study tool that lets you analyse manufacturing and process-improvement videos. You load video files locally in your browser, mark work elements in real time, and generate Excel reports. All video processing happens on your device — no footage is uploaded to our servers.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. Where a change materially affects paid subscribers we will provide reasonable advance notice.

All prices are exclusive of VAT. VAT (or equivalent local tax) will be added at the applicable rate where required by law.

We reserve the right to change pricing by giving at least 30 days' written notice to existing paid subscribers. Price changes do not apply until your next renewal date after the notice period expires.

5. Payment and billing

Subscription payments are processed by Stripe, Inc. By subscribing you authorise us (via Stripe) to charge your payment method on a recurring monthly basis.

6. Cancellation and your right to cancel

Right to cancel for consumers in the UK and EU

If you are a consumer (i.e. an individual using the service for personal rather than business purposes), you have a statutory right to cancel within 14 days of first subscribing to a paid plan, without giving any reason, under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and the EU Consumer Rights Directive.

Important: If you request that we begin providing the digital service immediately (which is the default at checkout), you acknowledge that you lose this right to cancel once the service has been fully performed, or you will owe a proportionate payment for the service delivered up to the point of cancellation.

To exercise the right to cancel within 14 days, contact us at [YOUR BILLING/CONTACT EMAIL] with your name, account email, and a clear statement that you wish to cancel.

If eligible for a refund, it will be issued to your original payment method within 14 days of receiving your cancellation notice.

Business customers

Business users do not have the statutory 14-day cooling-off right. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

All software, designs, trademarks, and content forming part of Iteros Lens are owned by or licensed to us and are protected by applicable intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you.

You retain full ownership of any video footage, study data, and exported reports you create using the service. We claim no rights over your content.

9. Your data and privacy

Our Privacy Policy explains how we collect and process personal data. By using the service you acknowledge that you have read and understood it.

As noted in Section 2, your video files and study data are processed entirely on your own device. We cannot access them and bear no responsibility for their loss.

10. Disclaimers

The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and uninterrupted availability.

Reports and outputs produced by Iteros Lens are tools to support your analysis. We make no warranty that they are accurate or suitable for any specific engineering, regulatory, or contractual purpose. You are responsible for verifying outputs before relying on them.

Statutory rights that cannot be excluded by contract (including those under the UK Consumer Rights Act 2015 or equivalent EU legislation) are not affected.

11. Limitation of liability

To the fullest extent permitted by applicable law, our total liability to you for any claim arising under these Terms shall not exceed the greater of (a) the fees you paid to us in the 12 months preceding the claim, or (b) £100.

We shall not be liable for any indirect, consequential, incidental, or punitive damages, loss of profits, loss of data, or business interruption, however caused.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

If you are a consumer in the EU or UK, nothing above removes or reduces your statutory rights, and the above limitations apply only to the extent permitted by mandatory consumer protection laws in your jurisdiction.

12. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of England and Wales, except that:

We are not obliged to participate in alternative dispute resolution schemes, but we will always try to resolve issues directly and fairly if you contact us first.

13. Changes to these Terms

We may update these Terms from time to time. For material changes affecting paid subscribers we will give at least 30 days' notice by email. For other changes, we will update the "Last updated" date at the top of this page. Continued use of the service after the effective date constitutes acceptance of the revised Terms.
